Shopiverb Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you, the person or business using the Services (“you,” “your,” or “Merchant”), and Shopiverb (“Shopiverb,” “we,” “us,” or “our”).
These Terms govern your access to and use of Shopiverb.com and Shopiverb's applications, software, integrations, websites, synchronization services, support services, and related products and services (collectively, the “Services”).
By creating an account, installing or authorizing Shopiverb, connecting a Shopify store or Reverb account, purchasing a subscription, or otherwise accessing or using the Services, you agree to these Terms.
If you are using Shopiverb on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, do not access or use the Services.
1. The Shopiverb Service
Shopiverb is a software service designed to help merchants manage and synchronize information between supported ecommerce and marketplace platforms, including Shopify and Reverb.
Depending on your subscription, configuration, connected accounts, and available features, Shopiverb may provide functionality involving:
- Product and listing connections;
- Inventory synchronization;
- Inventory quantity updates;
- Sales-related inventory adjustments;
- Product and listing management;
- Order-related synchronization;
- Listing creation or updates;
- Inventory monitoring;
- Synchronization history;
- Account and connection management;
- Error or status information; and
- Other related functionality.
Features may be added, changed, improved, limited, suspended, or discontinued as Shopiverb evolves.
2. Eligibility and Business Use
You must be legally capable of entering into a binding contract to use Shopiverb.
Shopiverb is intended primarily for businesses, merchants, retailers, and other commercial users.
By using Shopiverb, you represent and warrant that:
- You have authority to enter into these Terms;
- Information you provide is accurate and current;
- You are authorized to connect any Shopify store, Reverb account, or other third-party account that you connect to Shopiverb;
- Your use of Shopiverb complies with applicable laws; and
- Your use complies with applicable third-party platform terms and policies.
3. Account Registration
Certain Services require a Shopiverb account.
You are responsible for maintaining accurate account information and for maintaining the confidentiality and security of your login credentials.
You are responsible for activities occurring through your account except to the extent caused directly by Shopiverb's breach of its obligations.
You agree to notify Shopiverb promptly if you become aware of unauthorized access to your account or another security issue involving the Services.
Shopiverb may require additional verification before granting access to an account, modifying account information, or processing certain requests.
4. Third-Party Account Authorization
Shopiverb requires authorization to communicate with supported third-party platforms.
By connecting Shopify, Reverb, or another supported service, you authorize Shopiverb to access and process information available through that service to the extent necessary to provide the functionality you request.
You represent that you have the legal authority and all necessary permissions to grant such access.
You may revoke an integration through available Shopiverb or third-party platform controls.
Revoking authorization may immediately prevent some or all Shopiverb functionality from operating.
5. Shopify Integration
Shopiverb is an independent application that interoperates with Shopify.
Your Shopify account and use of Shopify remain subject to Shopify's applicable agreements, policies, rules, API requirements, and other terms.
You are responsible for maintaining an active and properly configured Shopify account where required for Shopiverb functionality.
Shopiverb does not control Shopify and cannot guarantee Shopify's availability, functionality, API behavior, data accuracy, policies, or continued support for any particular integration.
Shopify may modify its APIs, permissions, platform requirements, policies, rate limits, functionality, or other technical systems at any time.
Such changes may temporarily or permanently affect Shopiverb functionality.
Shopiverb may modify the Services as reasonably necessary to accommodate Shopify platform changes.
Shopify and associated trademarks are owned by Shopify Inc. and/or its affiliates. References to Shopify describe interoperability and do not, by themselves, imply sponsorship, ownership, partnership, certification, or endorsement.
6. Reverb Integration
Shopiverb is an independent application that interoperates with Reverb.
Your Reverb account and use of Reverb remain subject to Reverb's applicable agreements, policies, API terms, marketplace rules, and other requirements.
You are responsible for maintaining an active and properly configured Reverb account where required.
Shopiverb does not control Reverb and cannot guarantee Reverb's availability, functionality, API behavior, data accuracy, policies, or continued support for any particular integration.
Reverb may change its APIs, platform, rate limits, permissions, policies, or technical requirements. Such changes may affect Shopiverb functionality.
This application uses the Reverb API but is not endorsed, created by or certified by Reverb.com, LLC.
Reverb and associated trademarks are the property of their respective owners.
7. Inventory Synchronization
Shopiverb is designed to assist with coordinating inventory information between supported platforms.
You acknowledge that no multichannel inventory synchronization system can guarantee that overselling, inventory discrepancies, duplicate sales, synchronization delays, or other inventory errors will never occur.
Synchronization can be affected by circumstances outside Shopiverb's control, including:
- Shopify or Reverb outages;
- API outages or delays;
- API rate limits;
- Internet or network failures;
- Delayed or missing webhooks;
- Third-party platform changes;
- Merchant configuration errors;
- Incorrect SKU or product matching;
- Simultaneous purchases;
- Manual inventory changes;
- Other applications modifying inventory;
- Deleted or modified listings;
- Invalid authentication credentials;
- Expired or revoked authorization;
- Platform processing delays; and
- Events beyond Shopiverb's reasonable control.
Shopiverb is a management and synchronization tool. It is not a guarantee against overselling.
8. Merchant Responsibility for Inventory
You remain responsible for your products, listings, orders, inventory, customers, pricing, taxes, shipping, fulfillment, refunds, and marketplace activity.
You are responsible for reviewing synchronization results and confirming that important inventory information is accurate.
You should promptly investigate warnings, failed synchronizations, disconnected accounts, unmatched products, or other errors displayed or communicated by Shopiverb.
Shopiverb is not responsible for losses caused by incorrect information supplied by you or a third-party platform.
9. Product and Listing Matching
Shopiverb may allow you to associate Shopify products with Reverb listings.
You are responsible for verifying that products and listings are correctly matched.
An incorrect match may cause an inventory update to be applied to the wrong product or listing.
Shopiverb may provide automated matching, suggestions, warnings, or other tools to assist with this process, but you remain responsible for confirming the accuracy of your product relationships.
10. Orders and Sales
Shopiverb may receive information concerning orders, sales, fulfillment, or inventory changes from connected platforms.
Shopiverb does not itself become the seller or purchaser in transactions conducted through Shopify or Reverb.
All sales remain transactions between the merchant and the applicable customer through the applicable platform.
Shopiverb is not responsible for:
- Customer payment disputes;
- Chargebacks;
- Refunds;
- Returns;
- Fraudulent transactions;
- Shipping losses;
- Customer complaints;
- Taxes;
- Product condition;
- Product descriptions;
- Marketplace disputes; or
- Merchant fulfillment obligations.
11. No Guarantee of Continuous or Instantaneous Synchronization
Terms such as “automatic,” “real-time,” “synchronized,” “sync,” or similar descriptions refer to the intended operation of the Services and do not constitute a guarantee that every update will occur instantaneously or without interruption.
Processing times may vary depending upon platform availability, API response times, system load, internet conditions, rate limits, and other factors.
You acknowledge that a period of time may occur between an event on one platform and the corresponding update on another platform.
12. Subscription Plans
Certain Shopiverb Services require a paid subscription.
Available plans, pricing, features, limits, and billing periods will be displayed at the time of subscription or on our pricing page.
Different plans may contain different limits or functionality.
Shopiverb may introduce new plans or modify available plans.
Unless expressly stated otherwise, subscription fees are quoted in U.S. dollars.
13. Billing and Payment
By purchasing a paid subscription, you authorize the applicable payment provider to charge the fees associated with your selected plan.
Subscriptions may be billed through Shopify or another payment provider identified during checkout.
You are responsible for applicable taxes, duties, governmental charges, or similar assessments associated with your purchase, except taxes imposed directly upon Shopiverb's income.
You agree to maintain valid payment information while using a paid Service.
14. Automatic Renewal
Unless otherwise stated when you subscribe, paid Shopiverb subscriptions automatically renew for successive billing periods until canceled.
By subscribing, you authorize recurring charges for the applicable subscription amount until cancellation becomes effective.
You may cancel your subscription through the available account, Shopify, billing, or other cancellation mechanism provided for your subscription.
Cancellation prevents future renewal charges but does not ordinarily result in a refund for a billing period already paid, except where required by applicable law or expressly provided by Shopiverb.
15. Pricing Changes
Shopiverb may change subscription prices from time to time.
Where required, we will provide reasonable advance notice before a pricing change applies to an existing paid subscription.
Continued use of a paid subscription after a pricing change becomes effective constitutes acceptance of the new price, subject to applicable law.
You may cancel before the new price takes effect if you do not wish to continue at the revised price.
16. Free Trials and Promotional Offers
Shopiverb may offer free trials, introductory pricing, discounts, promotional credits, or other promotions.
Promotional terms may differ from standard subscription terms and may contain eligibility restrictions.
Unless otherwise stated, promotional offers may not be combined and may be modified or discontinued for future users.
If a trial automatically converts to a paid subscription, the applicable terms will be disclosed when the trial begins.
17. Refund Policy
Except where required by applicable law or expressly stated otherwise, subscription payments are non-refundable once charged.
Shopiverb may, at its sole discretion, issue a credit or refund in exceptional circumstances.
Providing a refund or credit on one occasion does not create an obligation to provide similar refunds or credits in the future.
Nothing in this section limits rights that cannot legally be waived.
18. Acceptable Use
You may not use Shopiverb to:
- Violate any applicable law or regulation;
- Sell illegal or prohibited products;
- Infringe intellectual-property rights;
- Defraud or deceive another person;
- Gain unauthorized access to another account or system;
- Distribute malware or malicious code;
- Interfere with Shopiverb's systems;
- Circumvent security measures;
- Circumvent subscription or usage limitations;
- Abuse Shopify, Reverb, or another third-party API;
- Conduct automated activity that materially harms Shopiverb or a third-party platform;
- Scrape or extract information except through functionality expressly provided by Shopiverb;
- Reverse engineer the Services except where such restriction is prohibited by law;
- Resell or sublicense Shopiverb without written authorization; or
- Use Shopiverb in a manner that could reasonably damage Shopiverb, its infrastructure, its users, Shopify, Reverb, or another third party.
19. Merchant Content
You retain ownership of product descriptions, images, trademarks, logos, listing content, and other content that you own and provide through Shopiverb (“Merchant Content”).
You grant Shopiverb a limited, non-exclusive license to host, copy, transmit, modify, format, and otherwise process Merchant Content solely as reasonably necessary to provide, secure, maintain, and improve the Services.
You represent and warrant that you possess the rights necessary for Shopiverb to process Merchant Content as instructed by you.
This license ends when the information is no longer reasonably required to provide the Services, subject to legitimate backup, security, legal, and recordkeeping requirements.
20. Shopiverb Intellectual Property
Shopiverb and its software, source code, interfaces, designs, graphics, documentation, databases, workflows, branding, trademarks, logos, and other proprietary materials are owned by Shopiverb or its licensors and are protected by applicable intellectual-property laws.
Except for the limited right to use the Services under these Terms, no ownership rights are transferred to you.
You may not copy, reproduce, distribute, sell, license, reverse engineer, modify, create derivative works from, or commercially exploit Shopiverb except as expressly permitted by us or applicable law.
21. Feedback
If you voluntarily provide ideas, suggestions, recommendations, feature requests, or other feedback regarding Shopiverb, you grant Shopiverb the right to use that feedback without restriction or compensation to you.
This does not transfer ownership of your Merchant Content or confidential business data.
22. Privacy
Shopiverb's processing of personal information is described in the Shopiverb Privacy Policy.
By using Shopiverb, you acknowledge that information may be processed as described in that policy.
Merchants remain responsible for maintaining any privacy notices and obtaining any permissions or consents required for their own businesses and customers.
23. Security
Shopiverb uses reasonable technical, administrative, and organizational safeguards designed to protect information and the Services.
However, no online service can guarantee absolute security.
You are responsible for protecting your account credentials and devices and for restricting access to your Shopiverb account to authorized personnel.
You must notify Shopiverb promptly if you reasonably suspect unauthorized access.
24. Service Availability
Shopiverb strives to provide reliable Services but does not guarantee uninterrupted or error-free operation.
The Services may become temporarily unavailable due to:
- Maintenance;
- Updates;
- Infrastructure failures;
- Security incidents;
- Internet outages;
- Third-party platform outages;
- API failures;
- Force majeure events; or
- Circumstances beyond our reasonable control.
Shopiverb may perform scheduled or emergency maintenance as reasonably necessary.
25. Beta and Experimental Features
Shopiverb may make beta, preview, experimental, or early-access features available.
Such features may be incomplete, contain errors, change without notice, or be discontinued.
Unless otherwise expressly stated, beta and experimental features are provided “AS IS” and may not be appropriate for mission-critical use.
26. Modifications to the Services
Shopiverb may modify, update, improve, replace, limit, or discontinue portions of the Services.
We will endeavor to provide reasonable notice when a material change substantially reduces paid functionality, where practicable.
Changes required because of security concerns, legal requirements, Shopify or Reverb platform changes, or circumstances outside our control may occur without advance notice.
27. Suspension
Shopiverb may suspend or restrict access to the Services where reasonably necessary because of:
- Nonpayment;
- Suspected fraud;
- Security concerns;
- Illegal activity;
- Material violation of these Terms;
- Abuse of third-party APIs;
- Threats to Shopiverb infrastructure;
- Requests from Shopify, Reverb, or another platform where appropriate;
- Legal requirements; or
- Conduct that creates material risk to Shopiverb or others.
Where reasonably practicable, Shopiverb will provide notice and an opportunity to resolve the issue.
28. Termination by You
You may stop using Shopiverb at any time.
You may cancel a paid subscription through the applicable cancellation method.
Termination does not relieve you of charges properly incurred before cancellation becomes effective.
You should disconnect third-party integrations when you no longer intend to use Shopiverb.
29. Termination by Shopiverb
Shopiverb may terminate your access if you materially breach these Terms and fail to cure the breach where a cure is reasonably available.
Shopiverb may terminate access immediately when reasonably necessary because of fraud, unlawful conduct, security threats, API abuse, deliberate misuse, or another serious violation.
Shopiverb may also discontinue the Services generally upon reasonable notice where practicable.
30. Effect of Termination
When your account is terminated:
- Your right to use the Services ends;
- Connected integrations may stop functioning;
- Synchronization will stop;
- Outstanding amounts remain payable;
- Information may be deleted or retained in accordance with our Privacy Policy; and
- Provisions that by their nature should survive termination will remain effective.
You are responsible for ensuring that your Shopify and Reverb inventory is appropriately configured before or after disconnecting Shopiverb.
31. Third-Party Services
Shopiverb depends upon services provided by third parties.
Shopiverb does not own or control Shopify, Reverb, internet providers, cloud providers, payment processors, or other third-party systems.
We are not responsible for failures, changes, acts, omissions, policies, security incidents, or discontinuation of third-party services except to the extent applicable law provides otherwise.
32. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHOPIVERB AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPIVERB DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
SHOPIVERB DOES NOT WARRANT THAT:
- THE SERVICES WILL ALWAYS BE AVAILABLE;
- THE SERVICES WILL BE ERROR-FREE;
- SYNCHRONIZATION WILL ALWAYS BE INSTANTANEOUS;
- ALL THIRD-PARTY INFORMATION WILL BE ACCURATE;
- OVERSALES OR INVENTORY DISCREPANCIES WILL NEVER OCCUR;
- ALL ERRORS WILL BE DETECTED;
- THIRD-PARTY APIs WILL REMAIN AVAILABLE; OR
- SHOPIVERB WILL MEET EVERY PARTICULAR BUSINESS REQUIREMENT.
Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.
33. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHOPIVERB AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, INVENTORY VALUE, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICES.
This includes, without limitation, losses arising from:
- Inventory discrepancies;
- Overselling;
- Duplicate sales;
- Missed sales;
- Incorrect product matching;
- Delayed synchronization;
- Incorrect inventory quantities;
- Marketplace suspension;
- API outages;
- Third-party platform failures;
- Lost listings;
- Pricing errors;
- Shipping or fulfillment errors; or
- Unauthorized access not caused by Shopiverb's failure to exercise legally required care.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPIVERB'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SHOPIVERB DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) $100 USD.
The limitations in this section apply regardless of the legal theory asserted and even if Shopiverb was advised of the possibility of damages.
These limitations do not apply to liability that cannot legally be excluded or limited.
34. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Shopiverb and its owners, officers, employees, contractors, affiliates, and agents from claims, liabilities, damages, losses, judgments, penalties, costs, and reasonable attorneys' fees arising from or related to:
- Your violation of these Terms;
- Your violation of applicable law;
- Your products or listings;
- Your Merchant Content;
- Your transactions with customers;
- Your violation of third-party rights;
- Your misuse of Shopiverb;
- Your Shopify or Reverb activity; or
- Information or instructions supplied by you.
Shopiverb will provide reasonable notice of an indemnified claim and may participate in its defense.
35. Force Majeure
Shopiverb will not be liable for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, fires, floods, severe weather, war, terrorism, civil unrest, labor disputes, governmental actions, utility failures, internet outages, cyberattacks, widespread infrastructure failures, cloud-provider failures, or third-party platform outages.
36. Governing Law
These Terms and disputes arising from or relating to Shopiverb will be governed by the laws of the State of Utah, without regard to conflict-of-law principles, except where applicable law requires otherwise.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
37. Informal Dispute Resolution
Before initiating formal legal proceedings, you and Shopiverb agree to make a good-faith effort to resolve the dispute informally.
A party seeking resolution should provide written notice describing the dispute and requested resolution.
The parties will have 30 days from receipt of the notice to attempt to resolve the matter before commencing formal proceedings, except where immediate injunctive or equitable relief is reasonably necessary.

38. Venue
Unless applicable law requires otherwise, any court proceeding permitted under these Terms shall be brought in a state or federal court having jurisdiction over Grand County, Utah, and each party consents to personal jurisdiction and venue there.
Nothing in these Terms prevents either party from seeking appropriate injunctive or equitable relief where legally available.
39. Class and Representative Actions
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SHOPIVERB AGREE THAT CLAIMS WILL BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A PURPORTED CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION.
If applicable law prevents enforcement of this provision with respect to a particular claim, this provision will apply to the maximum extent permitted.
40. Electronic Communications
You consent to receive agreements, notices, disclosures, and other communications electronically.
Electronic communications may be provided through email, the Shopiverb application, or Shopiverb.com.
You agree that electronic communications satisfy legal requirements that communications be in writing to the extent permitted by law.
41. Assignment
You may not assign or transfer these Terms without Shopiverb's prior written consent, except where applicable law provides otherwise.
Shopiverb may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, or transfer of the Shopiverb business.
42. No Partnership or Agency
These Terms do not create a partnership, joint venture, franchise, employment, fiduciary, or agency relationship between you and Shopiverb.
Shopiverb is not your agent for transactions conducted through Shopify, Reverb, or other platforms.
43. No Third-Party Beneficiaries
Except where expressly stated otherwise, these Terms do not create enforceable rights for any person or entity other than you and Shopiverb.
44. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent legally permissible or modified to the minimum extent necessary to make it enforceable.
The remaining provisions will remain in effect.
45. Waiver
Failure by Shopiverb to enforce a provision of these Terms does not waive our right to enforce that provision later.
A waiver is effective only when made in writing by an authorized representative of Shopiverb.
46. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the agreement between you and Shopiverb concerning the Services and supersede prior agreements or representations concerning the same subject matter.
47. Changes to These Terms
Shopiverb may update these Terms to reflect changes to the Services, pricing, laws, security requirements, or third-party platform requirements.
The “Last Updated” date will identify the latest revision.
If we make material changes, we may provide additional notice where required by applicable law.
Your continued use of Shopiverb after revised Terms become effective constitutes acceptance of the revised Terms, except where applicable law requires affirmative consent.
If you do not agree to revised Terms, you must discontinue use of the Services and cancel your subscription.
